Omniday — business subscription terms Version 2026-10-27

1. The parties and the agreement This agreement is between omniday ApS, Danish company registration number (CVR) 46730186, Industrivej 21, 4000 Roskilde, Denmark, hello@omniday.ai, and the business identified in the order. The service is for business use. The person accepting confirms that they are authorised to enter into the agreement on the business's behalf. The displayed order, including the plan, price, any campaign and capacity, together with these terms constitutes the agreement. A separate written customer agreement takes precedence for expressly agreed deviations. Publishing this version does not in itself change existing agreements.

2. The service and the customer's setup Omniday provides an AI concierge based on the business's approved knowledge, operating procedures and connected systems. The plan's channels can be used once they have been connected and configured. Integrations, bespoke development and consultancy are included only if expressly stated in the order; other work is agreed separately at an hourly rate or a fixed price. The customer is responsible for accurate knowledge, lawful instructions, necessary permissions and employee access. AI can make mistakes; the customer must establish appropriate oversight and human follow-up. No particular revenue, savings or error-free responses are guaranteed.

3. Price, payment and renewal The order states the price in Danish kroner (DKK), excluding VAT; applicable VAT is shown before payment. Card subscriptions are paid one month in advance and renew automatically for one month at a time. The customer authorises recurring card payments at the displayed price and frequency, subject to adjustments under section 7. A campaign discount applies for the displayed number of months from the start of the subscription, after which the standard monthly price applies, including any adjustments lawfully notified under section 7. The period is stated in the payment confirmation and follows the payment provider's subscription period; the specific dates are shown in the subscription and on the invoice. Access activation is separate and does not automatically defer the billing period. Acceptance alone does not activate AI use. An existing manually invoiced agreement continues until a new card agreement is confirmed; invoices already issued are not automatically credited. Any overlap is resolved separately with Omniday. If a payment fails, Omniday gives notice in Omniday, and the channels continue running for 7 days. Omniday may extend this deadline. If payment has not been completed when the deadline expires, the AI channels are paused until it is completed. A pause is not cancellation: setup, data, invoices, cancellation and data retrieval remain available, and the channels reopen automatically when payment is completed.

4. No longer-term commitment and cancellation There is no commitment beyond the current paid subscription period. The customer may cancel at any time through Subscription → Payment and invoices in Omniday, effective at the end of that period. Cancellation must be registered before the next renewal. The customer retains access for the paid period. Payments for the current period are not refunded for ordinary cancellation or non-use. This does not limit the customer's rights in the event of incorrect charges, Omniday's material breach or under mandatory law. Plan changes ordered by the customer must be approved with the terms, prices and effective dates displayed when making the change. Price and plan changes notified by Omniday are instead governed by section 7. Payment by invoice requires a separate agreement with Omniday.

5. Access and responsible use The customer may create a workspace and prepare its setup without a subscription; this does not confer a right to use AI. AI channels require an active agreement, an accepted data processing agreement and the necessary channel configuration. The customer must protect login details and must not misuse the service, bypass access controls or infringe others' rights. Omniday may restrict misuse and suspend access in the event of material breach or security risk, with notice and a reasonable opportunity to remedy the situation where circumstances permit.

6. Data and rights The customer retains the rights to its own data. Omniday may process customer data only to provide the service in accordance with the agreement and the separate data processing agreement. The data processing agreement is accepted separately electronically and is not changed by this acceptance; it governs the processing of personal data, subprocessors, deletion and return of data. Omniday's privacy policy describes the processing of account and contact information. Acceptance of this agreement is not consent to marketing. Omniday retains the rights to the platform; the customer receives a limited right to use it during the agreement.

7. Price adjustments, operations and liability Omniday may adjust the recurring subscription price without renewed customer acceptance where the adjustment is objectively justified by documented changes in the costs of hosting, AI models, telephony, operations, security or legally required compliance. The adjustment must be proportionate to the changes' impact on the service provided and must not be arbitrary. The same cost basis may not be counted more than once. Price increases are individually notified in writing to the customer's registered contact email at least 30 calendar days in advance. The notice must have been received at least 30 days before the effective date and must state the old and new prices, the reason, the effective date and how the customer can cancel beforehand. An increase may take effect no earlier than a subscription renewal after the notice period has expired. The customer may cancel at the end of the period before that renewal and thereby avoid the new price. If the customer does not cancel, the subscription and recurring payments continue at the notified price without further approval. The customer must keep its contact email up to date. The displayed monthly price is the price at the time of ordering, not a price guarantee for the entire customer relationship. Price changes do not apply retrospectively to paid periods. A campaign's agreed discount percentage or amount and duration are preserved, but the underlying standard price may be adjusted under the rules above. Where a fixed price has expressly been guaranteed separately for a specified period, that guarantee is honoured for that period. The expiry of an already agreed time-limited discount follows the order and is not a new price adjustment. Omniday may change plan names and structures or retire a plan as part of a documented restructuring of its product offering, including when underlying technology or supplier services are retired. An existing customer may be moved to a replacement plan at a subscription renewal without renewed acceptance if at least the agreed channels, included allowances and essential functionality are preserved. A new plan name does not in itself justify a price increase; any increase must comply with the price-adjustment rules above. The customer is individually notified by email at least 30 calendar days before the change, with a comparison of the old and new plans, price, reason, date and the option to cancel before the transition. The requirement that notice has been received and the protection of paid periods and separate price guarantees also apply here. A plan with fewer agreed channels, lower allowances or removal of essential functionality requires the customer's separate acceptance and must not be activated merely through inaction. Changes outside these price- and plan-adjustment provisions require a separate agreement; publication of a new terms version does not in itself change the customer's agreement. Mandatory rules and any longer notice periods separately agreed take precedence. Omniday aims for stable operation and provides notice of planned maintenance. Specific service levels require a separate agreement. To the extent permitted by law, Omniday's total liability is limited to the customer's payments over the preceding 12 months; indirect losses and business interruption losses are not compensated. This limitation does not apply to liability that cannot lawfully be limited, or to wilful misconduct and gross negligence.

8. Termination and contact If the subscription ends while the workspace remains, the workspace returns to setup mode. Knowledge, operating procedures, settings and cases are retained until the customer deletes them or closes the workspace, and continue to be processed under the data processing agreement. On termination, the customer may obtain its own data under section 9, the data processing agreement and applicable law. These terms do not limit mandatory rights to switch providers, access data or have data returned. Danish law governs the agreement; disputes are heard by the competent Danish courts. Questions about the agreement, payment or cancellation can be sent to hello@omniday.ai. The customer can retrieve the accepted agreement version and order summary in Omniday.

9. Data export The customer may at any time request an export of its data in writing to hello@omniday.ai, including for the purpose of switching to another provider. Omniday responds to the request within 30 days.
